These Terms & Conditions govern your relationship with Clipsby ("we," "us," "our") when you access our website or engage our services. By proceeding, you confirm you have read, understood, and agree to these terms.
01 Acceptance of Terms
By visiting clipsby.com, booking a discovery call, signing a service agreement, or making a payment to Clipsby, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our services.
These terms apply to all clients, visitors, and users of our website and services, including Social Media Management (SMM) and AI UGC services.
02 Services Provided
Clipsby provides AI-powered content production services including but not limited to:
- Social Media Management (SMM) using AI avatar technology
- AI-generated UGC (User-Generated Content) for product brands
- Short-form video scripting, editing, and distribution
- Carousel post design and content strategy
- AI avatar creation and ongoing content production
Specific deliverables, timelines, and scope of work are defined in the individual service agreement or proposal provided to each client. In the event of a conflict between these terms and a specific service agreement, the service agreement shall prevail.
03 Client Responsibilities
To enable us to deliver services effectively, clients agree to:
- Provide required media assets (video recordings, audio clips, brand guidelines) within agreed timelines.
- Review and approve scripts and videos within the revision turnaround period specified in the agreement.
- Provide accurate and complete information about their brand, audience, and objectives.
- Ensure all media assets provided are owned by the client or properly licensed for commercial use.
- Not use our deliverables for any unlawful, defamatory, misleading, or harmful purpose.
- Provide timely feedback through agreed channels (Slack, Frame.io) to avoid production delays.
Delays caused by the client's failure to provide assets or approvals on time do not entitle the client to a refund or extension of the billing cycle.
04 Payment Terms
All payments are governed by the following terms:
- Invoices are issued at the beginning of each billing cycle and are due within 7 days of issue.
- Services will not commence or continue if payment is outstanding beyond the due date.
- All prices are quoted in Indian Rupees (INR) unless otherwise stated in writing.
- Late payments may attract a fee of 2% per month on the outstanding balance.
- Prices are subject to change with 30 days' written notice to active clients.
- Payment for AI UGC orders is required in full before production begins.
05 Intellectual Property
Upon receipt of full payment for a given deliverable:
- The client owns the final produced content (videos, carousels, scripts) delivered as part of their service package.
- Clipsby retains the right to use produced content as portfolio samples or case studies unless the client requests confidentiality in writing.
- All underlying production tools, AI systems, templates, workflows, and processes remain the exclusive intellectual property of Clipsby.
- The AI avatar created for the client is licensed to the client for use during the active service period. Upon termination, the client may not continue using avatar-generated content for new productions without a separate licence agreement.
06 AI Avatar & Media Usage
By providing video, audio, and likeness data for AI avatar creation, the client grants Clipsby a limited, non-exclusive licence to process and use this data solely for producing contracted content.
- Clipsby will not use your likeness, voice, or brand assets for any purpose outside your contracted services.
- The client is responsible for ensuring they have the right to provide any third-party likeness or media included in their assets.
- Clipsby is not liable for any misuse of content after delivery to the client.
- AI-generated content must comply with platform policies (Instagram, YouTube, Meta Ads, etc.) and applicable laws. The client bears responsibility for compliance on their channels.
07 Confidentiality
Both parties agree to keep confidential any proprietary information, business strategies, or trade secrets shared during the engagement. This obligation survives termination of the service agreement.
Clipsby will not disclose client strategies, pricing, or internal brand information to competitors or third parties without explicit written consent.
08 Limitation of Liability
To the maximum extent permitted by applicable law:
- Clipsby's total liability shall not exceed the fees paid by the client in the 30 days prior to the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages including loss of revenue, data, or business opportunities.
- We do not guarantee specific results, follower growth, engagement rates, or revenue from our content services.
- We are not responsible for platform algorithm changes, account suspensions, or third-party service outages affecting delivery.
09 Termination
Either party may terminate the service agreement with 30 days' written notice. The following applies upon termination:
- All outstanding invoices become immediately due and payable.
- Work in progress at the time of notice will be completed and delivered if payment is current.
- Clipsby will retain no rights to use your media assets for new productions after termination.
- Clipsby reserves the right to terminate immediately in cases of non-payment, breach of terms, or abusive conduct.
10 Governing Law
These Terms & Conditions are governed by the laws of India. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
11 Changes to Terms
We reserve the right to update these Terms & Conditions at any time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated terms.
